Terms of Service

1. Purpose & Scope Hierarchy

These Terms of Service embody the legal and commercial terms of Aspivolve Digital ("Service Provider"). In the event of any operational inconsistency, the following order of precedence applies:

1. Signed Change Request
2. Approved Statement of Work (SOW) / Quotation / Invoice
3. Schedule A (Commercial Confirmation)
4. These Terms of Service
5. General website, brochure, or verbal promotional material

Only written and approved scope documents are legally binding. Informal chat messages or verbal statements do not expand agreed deliverables.

2. Package Tiers, Validity & Maintenance Terms

Services are structured across public package tiers with designated validity windows and post-validity monthly maintenance terms:

Routine maintenance includes bug fixes and technical monitoring. Maintenance excludes major redesigns, new pages, new AI agents, or new advertising campaigns.

3. Client Onboarding, Content & Package Validity Expiry

• Onboarding Dependencies: Client must provide required brand assets, access credentials, product details, and approvals within the agreed onboarding timeframe. Delays in client inputs automatically extend project delivery timelines without penalty to Aspivolve.
• Package Validity Expiry Rule: Deliverables are strictly bound by the validity window of the selected package (50, 120, 280, or 300+ days). If a package includes fixed deliverables (e.g. 30 reels/posts) and the validity period expires due to Client delays in providing content or approvals, Aspivolve is not liable to complete the undelivered balance post-expiry. No refund or compensation applies for Client-delayed expired balances.
• Reel & Video Requirements: Social media videos/reels supplied under packages have a maximum duration of 1 minute. Where Client-shot footage is required, Client must record according to supplied framing/audio instructions. Quality limitations caused by unusable client footage remain Client's responsibility.

4. Prototype Approval & 30-Day Post-Launch Warranty

• Prototype Approval: Aspivolve presents a design wireframe or prototype preview prior to final coding. Once Client approves the prototype/template, the website is delivered in accordance with that approved specification. Personal aesthetic preferences raised after delivery do not constitute a defect.
• 30-Day Warranty: Reproducible bugs against the approved scope reported in writing within 30 days after launch are corrected under warranty. The warranty excludes issues caused by Client code modifications, third-party plugin/hosting changes, DNS errors, or newly requested features.

5. Advertising Spend & Third-Party Costs

Advertising media spend (Meta Ads, Google Ads) is separate from Aspivolve's agency management fee and is paid directly by the Client to the ad platforms.

Third-party API costs (AI language models, voice synthesis, WhatsApp BSP fees, hosting, domains, paid software subscriptions) are separate and billed based on actual usage unless explicitly bundled in the approved quotation.

6. Intellectual Property & Pre-Existing Code

Upon full payment of agreed project fees, final client-specific creative deliverables and website code created specifically for the Client are transferred/licensed to the Client.

Aspivolve Digital retains full ownership of pre-existing reusable tools, frameworks, code libraries, automation prompts, templates, and proprietary software architecture used to construct the solution.

7. AI Performance Disclaimer & Limitation of Liability

AI systems are probabilistic. Aspivolve configures and tests all workflows professionally, but does NOT guarantee specific sales, lead conversion numbers, search engine rankings, or ad return on ad spend (ROAS). 24/7 automated operation of an AI agent does NOT constitute 24/7 human technical support.

Aspivolve Digital is not liable for indirect or consequential losses resulting from third-party platform policy changes, algorithm updates, hosting outages, or platform suspensions (Meta, Google, WhatsApp).

8. Contact & Governing Law

Disputes shall first be addressed through good-faith discussion. Unresolved matters remain subject to the laws and jurisdiction of India.
